GI contracts need scrutiny on endoscopy-volume guarantees during ramp-up, ASC partnership-track timing and valuation, and call coverage for hospital consult and emergent endoscopy. Restrictive covenants in PE-backed GI platforms have been drafted aggressively in some markets and should be scoped down. Anesthesia services arrangement at the ASC affects per-case economics and should be understood before signing.
